II. Web Site Usage Agreement between GMPCM and the User

1. Use of this Site constitutes agreement with the following terms and conditions.

2. GMPCM maintains this web site (the "Site") as a courtesy to anyone who may choose to access the Site ("User"). The information presented herein is for information purposes only. GMPCM grants permission to the User to visit the Site and download and copy the information, documents and materials (collectively, "Materials") from the Site for User's personal, non-commercial use, without any right to resell, redistribute, compile or create derivative works there from, subject to the terms and conditions outlined below, and also subject to more specific restrictions that may apply to specific materials within this Site.

3. GMPCM administers this Site. All Materials on this Site from GMPCM are subject to these terms and conditions.

4. Unless expressly stated otherwise, the findings, interpretations, and conclusions expressed in the Materials in this Site are those of the various GMPCM staff members, consultants, and advisers to GMPCM who prepared the work and do not necessarily represent the views of GMPCM.

5. Use of content harvesting software to clone this site is strictly forbidden.  This includes any attempt to save this site's contents to disk, in part or whole, other than the normal "online" disk caching employed by browser software.

Under no circumstances, including, but not limited to, negligence, shall GMPCM or its affiliates be liable for any direct, indirect, incidental, special, or consequential damages, even if GMPCM has been advised of the possibility of such damages.

As a condition of use of this Site, User agrees to indemnify GMPCM and its affiliates from and against any and all actions, claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of User's use of this Site, including without limitation any claims alleging facts that if true would constitute a breach by User of these terms and conditions. If User is dissatisfied with any material on this Site or with any of its terms and conditions of use of this Site, User's sole and exclusive remedy is to discontinue using this Site.

10. This Site may contain links and references to third-party Web sites. The linked sites are not under the control of GMPCM, and GMPCM is not responsible for the contents of any linked site, or any link contained in a linked site. GMPCM provides these links only as a convenience, and the inclusion of a link or reference does not imply endorsement of the linked site by GMPCM.

11. If this Site contains bulletin boards, chat rooms, access to mailing lists or other message or communication facilities (collectively, "Forums"), User agrees to use the Forums only to send and receive messages and material that are proper and related to the particular Forum. By way of example, and not as a limitation, User agrees that when using a Forum, User shall not do any of the following:

a. Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

b. Publish, post, distribute or disseminate any defamatory, infringing, obscene, indecent or unlawful material or information.

c. Upload or attach files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.

d. Delete any of the author attributions, legal notices, or proprietary designations or labels in any file that is uploaded.

e. Falsify the origin or source of software or other material contained in a file that is uploaded.

f. Harvest email or other forms of addresses by any means in order to collate them into lists for use in commercial or non-commercial mailings.

12. User acknowledges that all Forums or Discussion Groups are public and not private communications. Further, User acknowledges that chats, postings, conferences, emails and other communications by other users are not endorsed by GMPCM, and such communications shall not be considered reviewed, screened, or approved by GMPCM. GMPCM reserves the right for any reason to remove without notice any contents of the Forums received from User, including without limitation email and bulletin board postings.

Preservation of immunities

13. Nothing herein shall constitute or be considered to be a limitation upon or a waiver of the privileges and immunities of the United Nations, which are specifically reserved.

Country and area nomenclature; mention of companies or products

The use of particular designations of countries or territories does not imply any judgment by GMPCM as to the legal status of such countries or territories, of their authorities and institutions, or of the delimitation of their boundaries. The mention of names of specific companies or products (whether or not indicated as registered) does not imply any intention to infringe proprietary rights, nor should it be construed as an endorsement or recommendation on the part of GMPCM. The designations "developed" and "developing" regions are intended for statistical and analytical convenience and do not necessarily express a judgment about the stage reached by a particular country or area in the development process.

General

14. GMPCM reserves its exclusive right in its sole discretion to alter, limit or discontinue the site or any Materials in any respect. GMPCM shall have no obligation to take the needs of any user into consideration in connection therewith.

15. GMPCM reserves the right to deny in its sole discretion any user access to this Site or any portion thereof without notice.

16. No waiver by GMPCM of any provision of this Agreement shall be binding except as set forth in writing signed by its duly authorized representative.

 

III. Software License Agreement

1. The distribution and sale of this software are for the exclusive use of the original purchaser, for use exclusively on computers privately owned by that purchaser. Unlicensed copying, duplicating, selling, or otherwise distributing the software is in violation of the Federal Copyright Law. GMPCM software is protected by United States copyright laws and international treaty provisions. User acknowledges that no title to the intellectual property in the Software is transferred and further acknowledges that full ownership rights to the Software will remain the exclusive property of GMPCM. User will not acquire any rights to the Software except as expressly set forth in this license.

2. Use of this product constitutes acceptance of these terms and conditions and an agreement to abide by them. This is a license agreement and not an agreement for sale. GMPCM owns copyrights in this software. The original purchaser is granted a personal, nonexclusive, non-transferable license to use this software on a single computer under the terms stated in this agreement. You may not assign or transfer the software or this license without the express written consent of GMPCM. Any attempt to sublicense, assign, or transfer any of the rights, duties, or obligations there under is void.

3. You may not copy (except for backup purposes), modify, alter, electronically transfer, lease, or rent the software. This license is in effect until terminated. You may terminate it at any time by returning the software and the manual. It will also terminate if you fail to comply with any of the terms and conditions of this agreement. If the license terms are not acceptable, return the unopened package to the original seller for a refund pursuant to their sales terms within 15 days.

Reverse Engineering

User agrees that it will not attempt, and will use its best efforts to prevent others from attempting to reverse compile, modify, translate or disassemble the Software in whole or in part.

Limited Warranty And Disclaimer

GMPCM warrants for a period of thirty (30) days from the date of delivery that the media on which the software is supplied will be free from any defects in materials and workmanship. GMPCM further warrants for the same period that the software, under normal use, will substantially perform as described in the documentation when used on supported hardware. GMPCM, and the HD RadioPC or AIVMS software, are in NO way affiliated with General Motor's Corporation or Ibiquity Inc. or any of their subsidiaries.

GMPCM’s entire liability and your exclusive remedy under this warranty will be at GMPCM's option, (a) to attempt to correct the error, (b) help you work around the error, (c) replace the software with functionally equivalent software or media or (d) to license a refund, so long as the Software is returned by the User.

GMPCM MAKES, AND YOU RECEIVE, NO WARRANTIES, EXPRESS, IMPLIED STATUTORY OR IN ANY COMMUNICATION WITH YOU, AND GMPCM SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. GMPCM DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE.

III. Merchandise Returns

1. A Return Merchandise Authorization (RMA) must be requested via email to : and the RMA number we provide needs to visible on the outside of the returned package. 

2. Please save all packaging and accessories for any item that is returned to GMPCM. All original equipment, components, manuals, cables, documents and packaging must be returned with your item in order for GMPCM to process your RMA.  

3. An item returned for a replacement may be repaired or replaced at GMPCM's discretion, unless otherwise required by law. All items sold through GMPCM are subject to our Policy and Agreement. Physically damaged items cannot be returned.  

4. Non-defective order returns (refunds) incur a 30% restocking fee and the returned package must be postmarked no later than 30 days from the date of purchase.  All refunds are issued to the PayPal account used for the original purchase.

 

IV.  Shipping

1.  We only ship to locations within the continental United States.

2.  Please allow for processing time of one to two days before shipment.

3.  In event of a component stock shortage, some items may ship as backordered.  You will receive backordered items in a later shipment.
